Terms of Service

These terms govern your access to and use of Oxit's website, professional services, and the Oxi Notify platform. Please read them carefully — by using our services, you agree to them.

Acceptance of These Terms

By accessing our website, engaging our services, or using the Oxi Notify platform, you agree to be bound by these Terms of Service and our Privacy Policy. If you are accepting on behalf of a company, you confirm that you have authority to bind that company. If you do not agree, please do not use our services.

Definitions

  • “Oxit”, “we”, “us” — Oxit and its affiliates.
  • “Services” — our IT, ERP, integration, and software services, and the Oxi Notify platform.
  • “Customer” — the business or individual that contracts for the Services.
  • “End User” — a person a Customer communicates with through the platform.
  • “Customer Content” — data, messages, and materials processed through the Services on a Customer's behalf.

Our Services

Oxit provides IT consulting, Microsoft Dynamics 365 Business Central and Finance & Operations implementation and support, system integrations, custom software, and the Oxi Notify customer-communication platform.

The specific scope, deliverables, and pricing for professional-services engagements are defined in a separate proposal, order form, or statement of work. That document, together with these terms, forms the agreement between us; if there is a conflict, the signed order form prevails.

The Oxi Notify Platform

Oxi Notify is a multi-tenant, cloud-based platform for customer communication across WhatsApp, Instagram, Facebook Messenger, web chat, email, SMS, and inbound phone calls answered by the AI assistant — with AI-assisted replies, mass campaigns, ticketing, feedback, and document delivery. Subject to these terms and your plan limits, we grant you a non-exclusive, non-transferable, revocable right to use the platform during your subscription for your internal business purposes.

Acceptable Use

You agree not to use the Services to:

  • Break any applicable law or regulation, or infringe the rights of others.
  • Send spam or unsolicited, deceptive, or unlawful messages.
  • Distribute malware or attempt to disrupt, overload, or gain unauthorized access to the Services.
  • Reverse-engineer, copy, resell, or sublicense the platform beyond the rights granted.
  • Process sensitive data in violation of applicable law or third-party platform policies.

We may suspend or limit access where reasonably necessary to protect the Services, other customers, or third parties.

Messaging Consent & Compliance

You are solely responsible for obtaining the consent and legal basis required to contact your End Users, and for honoring opt-out requests. Use of WhatsApp, Instagram, and Messenger must comply with the applicable Meta Platforms policies and the WhatsApp Business Messaging Policy, and use of SMS and email must comply with applicable anti-spam laws. You are responsible for the content of the messages you send through the platform.

Where you connect your own phone number, you supply and contract that number and the SIP trunk with your own telecommunications carrier. You are responsible for complying with the telecommunications, call-handling, and call transcription or monitoring consent laws that apply to you and to your callers — including any obligation to tell callers they are speaking with an automated assistant. Incoming calls are answered by the AI assistant; the platform does not place outbound calls on your behalf.

Accounts & Security

You are responsible for keeping your account credentials confidential and for all activity under your account. You must notify us promptly of any unauthorized use or suspected breach. We may require multi-factor authentication and other reasonable security controls.

Customer Data & Responsibilities

You retain all rights to your Customer Content. You grant us the limited rights necessary to host, process, and deliver it in order to provide the Services. You are responsible for the accuracy and legality of your Customer Content and for ensuring you have the rights and consents to process it through the platform. We handle Customer Content as described in our Privacy Policy.

Fees & Payment

Fees are set out in the applicable proposal, order form, or subscription plan. Unless stated otherwise, fees are exclusive of taxes, payable in advance, and non-refundable. We may suspend the Services for overdue payment after reasonable notice.

Oxi Notify is offered on a plug-and-play basis with no upfront development fees; usage-based pricing depends on messages, channels, number of companies, and optional add-ons such as the AI bot, ticketing, or the Chat SDK.

Intellectual Property

Oxit and its licensors own all rights in the Services, including the Oxi Notify platform, software, and documentation. These terms transfer no ownership to you. Any feedback you provide may be used to improve the Services without obligation to you. All Oxit names, logos, and trademarks remain our property.

Third-Party Platforms

The Services integrate with third-party platforms such as Meta (WhatsApp, Instagram, Messenger), Microsoft, AI providers, communication gateways, and the telecommunications carrier you use for your own phone number. Your use of those platforms is subject to their own terms, and we are not responsible for their availability, changes, or actions. Third-party charges — such as messaging fees, and the number and SIP trunk fees billed directly by your carrier — may apply and are your responsibility.

Availability & Support

We aim to keep the Services available and reliable, with monitoring, backups, and support. The Services are nonetheless provided on an “as available” basis and may experience downtime for maintenance, updates, or factors beyond our control, including third-party platform outages. Any specific service-level commitments apply only where expressly stated in a written agreement.

Disclaimers & Limitation of Liability

To the maximum extent permitted by law, the Services are provided “as is” and “as available” without warranties of any kind, whether express or implied. We do not warrant that the Services will be uninterrupted, error-free, or completely secure.

To the maximum extent permitted by law, Oxit will not be liable for any indirect, incidental, special, or consequential damages, or for loss of profits, data, or goodwill. Our total aggregate liability for any claim will not exceed the amount you paid us for the relevant Services in the twelve months before the claim arose. You agree to indemnify Oxit against third-party claims arising from your misuse of the Services or breach of these terms.

Term & Termination

These terms apply for as long as you use the Services. Either party may terminate a subscription or engagement as set out in the applicable order form, or immediately in the event of a material breach that is not cured after reasonable notice. On termination, your right to use the Services ends, and we will make your Customer Content available for export for a limited period before deletion, unless the law requires otherwise.

Governing Law

These terms are governed by the laws of the United Arab Emirates as applicable in the Emirate of Sharjah, without regard to conflict-of-law principles. The competent courts and free-zone authorities of the UAE will have jurisdiction, except where mandatory local law provides otherwise. Nothing in these terms limits any statutory rights that cannot be waived under applicable law.

Changes to These Terms

We may update these terms from time to time. Material changes take effect when we post the updated terms and revise the “Last updated” date above. Your continued use of the Services after an update means you accept the revised terms.

These Terms of Service set out the general terms for using Oxit's website and Services. Where you have signed a separate written agreement with Oxit, that agreement governs to the extent of any conflict.
